At its regular meeting after the founding meeting in July, the Supervisory Board of Energoatom JSC elected Jarek Neverovych as its chairman, and Michael Elliott Kirst as its deputy, the company reported.
“Jarek Neverovych was elected as the Chairman of the Supervisory Board of Energoatom, and Michael Elliott Kirst, who also headed the Audit Committee created by the Board, as the Deputy Chairman” – the message says “Energoatom” on Friday evening.
NAEC also reported the absence of the third independent member of the Supervisory Board (Timothy Stone, who refused to sign the contract – EP), noting that under such circumstances, decisions on the establishment of the Nomination Committee and the Remuneration Committee are expected as soon as possible after the NR receives the relevant legal conclusions.
“The strategic importance of NAEK Energoatom also extends beyond the borders of Ukraine, which makes the company a key partner in regional strategic security and cooperation. Our responsibility is not only to help ensure uninterrupted supply of the necessary electricity for the country, but also to position Energoatom as a model of corporate governance and innovation,” Neverovych commented.
As noted in the message, transparency and open communication are defined as the guiding principles of the Supervisory Board’s activities, and the company itself seeks to promote meaningful dialogue and cooperation with local and central authorities, as well as with stakeholders at the international level.
“Energoatom’s future depends on our ability to maintain trusting relationships, remain adaptable and adhere to the highest management standards. We will fulfill the tasks set before us on time, ensuring stability and continuity for all those who count on us,” Neverovych assured.
Prior to that, the Minister of Energy Herman Galushchenko announced that the Supervisory Board of Energoatom will elect its head on Friday, January 17, and will begin full-time work.
By Order No. 566 dated June 21, 2024, the Cabinet of Ministers approved Timothy John Stone, Michael E. Kirst, and Yarek Neverovich as independent members of the Supervisory Board of Energoatom, and Timofii Mylovanov and Vitaly Petruk as representatives of the state.
Since then, the supervisory board has not fully started its work. The sources of the agency “Interfax-Ukraine” specified that independent members are not satisfied with the amount of remuneration.
By Order No. 1224 dated November 26, 2024, the Cabinet of Ministers approved the terms of contracts with members of the NAEK supervisory board without disclosing details.
In December of the same year, First Deputy Minister of Economy Oleksiy Sobolev announced that the government is waiting for independent members of Energoatom’s supervisory board, whose first meeting has been open since July 17, for positions on contracts and readiness to continue work. According to him, the proposed conditions correspond to salaries in other large energy companies of Ukraine.
At the beginning of January 2025, People’s Deputy of Ukraine Yaroslav Zheleznyak (the “Voice” faction) proposed to involve international partners in discussing the issue of the disruption of the functioning of the Supervisory Board of NAEC “Energoatom”.
EU Ambassador to Ukraine Katarina Maternova, in response to a letter of inquiry from the Interfax-Ukraine agency on January 14, reported that the G7 ambassadors called on Prime Minister Denys Shmyhal to ensure the work of the Supervisory Board of NAEC “Energoatom” as soon as possible. According to her, the presence of a full-fledged board will be important for discussing new significant investments.
